Data Processing Agreement
This Data Processing Agreement ("DPA") forms part of the Terms of Service between CogniCo AI Consulting ("CogniCo," "we," "us," or "our") and the organization agreeing to these terms ("Customer," "you," or "your"). This DPA reflects the parties' agreement with respect to the processing of Personal Data by CogniCo on behalf of the Customer in connection with the services provided by CogniCo.
1. Definitions
"Personal Data"
means any information relating to an identified or identifiable natural person ('data subject'); an identifiable natural person is one who can be identified, directly or indirectly.
"Processing"
means any operation or set of operations which is performed on Personal Data, whether or not by automated means, such as collection, recording, organization, structuring, storage, adaptation or alteration, retrieval, consultation, use, disclosure by transmission, dissemination or otherwise making available, alignment or combination, restriction, erasure or destruction.
"Data Controller"
means the entity which determines the purposes and means of the Processing of Personal Data.
"Data Processor"
means the entity which Processes Personal Data on behalf of the Data Controller.
"Services"
means the AI consulting, implementation, and capacity building services provided by CogniCo to Customer.
2. Roles and Responsibilities
2.1 Customer as Data Controller
Customer acts as the Data Controller with respect to the Personal Data processed by CogniCo on Customer's behalf in the provision of the Services.
2.2 CogniCo as Data Processor
CogniCo acts as the Data Processor with respect to the Personal Data processed on behalf of Customer in the provision of the Services.
3. Processing of Personal Data
3.1 Purpose of Processing
CogniCo shall Process Personal Data only for the purpose of providing the Services to Customer and in accordance with Customer's documented instructions.
3.2 Categories of Data
The types of Personal Data processed may include, but are not limited to:
- Contact information (name, email, phone number)
- Professional information (job title, department)
- User account information
- Usage data related to the Services
- Any other Personal Data submitted by or for Customer through the Services
3.3 Duration of Processing
CogniCo will Process Personal Data for the duration of the Services agreement, unless otherwise agreed upon in writing.
4. Data Security
4.1 Security Measures
CogniCo shall implement appropriate technical and organizational measures to ensure a level of security appropriate to the risk, including:
- Encryption of Personal Data where appropriate
- Ability to ensure ongoing confidentiality, integrity, availability, and resilience of processing systems and services
- Ability to restore availability and access to Personal Data in a timely manner in the event of a physical or technical incident
- Process for regularly testing, assessing, and evaluating the effectiveness of security measures
4.2 Staff Confidentiality
CogniCo shall ensure that all personnel who have access to Personal Data are subject to confidentiality obligations.
5. Subprocessors
5.1 Authorization
Customer provides general authorization for CogniCo to engage subprocessors to Process Personal Data in connection with the provision of Services.
5.2 Notification
CogniCo shall inform Customer of any intended changes concerning the addition or replacement of subprocessors, providing Customer with the opportunity to object to such changes.
5.3 Subprocessor Obligations
CogniCo shall ensure that subprocessors are bound by written agreements that require them to provide at least the level of data protection required of CogniCo under this DPA.
6. Data Subject Rights
CogniCo shall, to the extent legally permitted, promptly notify Customer if it receives a request from a Data Subject to exercise their rights under applicable data protection laws. Taking into account the nature of the Processing, CogniCo shall assist Customer by implementing appropriate technical and organizational measures to help Customer fulfill its obligation to respond to Data Subject requests.
7. Data Breach Notification
CogniCo shall notify Customer without undue delay after becoming aware of a Personal Data breach affecting Customer's Personal Data. Such notification shall include the nature of the breach, the categories and approximate number of Data Subjects concerned, the likely consequences of the breach, and measures taken or proposed to address the breach.
8. Data Protection Impact Assessment
Upon Customer's request, CogniCo shall provide Customer with reasonable assistance in carrying out data protection impact assessments and prior consultations with supervisory authorities, taking into account the nature of Processing and the information available to CogniCo.
9. Return or Deletion of Data
Upon termination of the Services, CogniCo shall, at Customer's choice, delete or return all Personal Data to Customer and delete existing copies unless applicable law requires storage of the Personal Data.
10. Audit Rights
CogniCo shall make available to Customer all information necessary to demonstrate compliance with the obligations set forth in this DPA and shall allow for and contribute to audits, including inspections, conducted by Customer or another auditor mandated by Customer.
11. International Data Transfers
CogniCo shall not transfer Personal Data outside of Canada without the prior written consent of Customer and ensuring that appropriate safeguards are in place for such transfers in accordance with applicable data protection laws.
12. Modifications
This DPA may only be modified by a written amendment signed by both parties.
